Beyond the Spreadsheet: AI, Regulation, and the Human Factor in M&A Due Diligence
Artificial intelligence has moved from a boardroom talking point to a regulatory and competitive necessity, yet most due diligence teams are still built for a pre-AI world. Financial and legal professionals conducting diligence are trained to trace cash flow, contracts, and compliance history, but few are equipped to evaluate how a target company is using AI internally, what regulatory exposure that creates, or where cybersecurity vulnerabilities tied to AI adoption might be hiding in plain sight. This session examines the current debate over AI regulation, the competitive pressure driving companies to adopt AI despite that uncertainty, and the cybersecurity risks that follow. It then turns to due diligence itself, covering what deal teams should be asking, what a target's AI usage reveals about operational maturity and risk, and why human judgment remains the deciding factor in catching what algorithms and checklists miss. Attendees will leave with a practical framework for incorporating AI and cybersecurity questions into their next deal. They will also gain a clearer sense of where the real risk in modern due diligence is hiding, and how to spot it before closing rather than after.
Participants will earn 1.0 CPE credit in the Field of Study: Specialized Knowledge.
