Insurance and M&A Transactions have so many connections. Risk and coverage, P&C, cybersecurity, group health, D&O, E&O, and tail policies to name just few. But the biggest game changer for the M&A transaction in the last 10-15 years has been representations and warranty insurance. It has changed negotiation dynamics, and in many instances has insulated sellers from any ongoing liability and given buyers a greater level of security that post-closing claims will get paid. But what is the truth behind the R&W insurance curtain. So many questions: How much does it cost, what size deals can handle such cost, who pays for it, how much coverage should I get, what is the typical deductible, is the cost worth it, how often are claims being made and covered, what kind of claims are most often made, just to name a few. Also, R&W Insurance is not the only insurance that can cover M&A liability claims. Tail policies, for instance. What are they, why do buyers require it, what do they cover and is it worth the expense. And finally, something that is a part of every deal, buy side insurance due diligence of the target.
